These Terms of Service govern your access to and use of Swoop. By creating an account, connecting an integration, or using Swoop, you agree to these Terms.
The Service
Swoop helps teams monitor market conversations, triage posts, draft replies, coordinate allies, and route alerts through channels such as Slack, email, and WhatsApp. Swoop may use AI to classify posts, score urgency, summarize context, draft responses, and recommend next steps.
Accounts and Organizations
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account and for the users you invite to your organization.
If you use Swoop for an organization, you represent that you have authority to bind that organization to these Terms.
Connected Services
You may connect third-party services such as X, Slack, Google, Reddit, LinkedIn, email, or WhatsApp. You authorize Swoop to access and process the information permitted by those connections to provide the service.
Your use of connected services remains subject to their own terms, policies, rate limits, and platform rules. You are responsible for ensuring that your use of Swoop complies with those third-party requirements.
User Content
You retain ownership of content, configuration, messages, files, prompts, and other information you provide to Swoop. You grant Swoop a limited license to host, process, transmit, display, and use that content as needed to provide and improve the service, comply with law, and enforce these Terms.
You represent that you have the rights and permissions needed to provide your content and connect accounts to Swoop.
AI Outputs
AI outputs may be incomplete, inaccurate, or inappropriate for your intended use. You are responsible for reviewing, editing, approving, and deciding whether to publish, send, or rely on any AI-generated draft, score, summary, or recommendation.
Acceptable Use
You agree not to:
- Use Swoop for unlawful, deceptive, harmful, or abusive activity
- Violate third-party platform rules or terms
- Scrape, harvest, or access data in ways not supported by authorized APIs or integrations
- Send spam, harassment, or misleading communications
- Infringe or misappropriate intellectual property or privacy rights
- Attempt to bypass security, rate limits, billing, or access controls
- Upload malware or interfere with Swoop's operation
- Use Swoop to build a competing service through unauthorized copying or benchmarking
Payments
Paid plans are billed through our payment provider. You authorize us and our payment provider to charge your selected payment method for applicable fees, taxes, renewals, and usage-based charges. Fees are non-refundable except as required by law or expressly stated in an order form.
Availability and Changes
Swoop is evolving. We may add, change, suspend, or remove features at any time. We may also suspend access if needed for security, legal, operational, or platform compliance reasons.
Termination
You may stop using Swoop at any time. We may suspend or terminate access if you violate these Terms, create risk for Swoop or others, fail to pay amounts due, or use the service in a way that may violate law or third-party platform rules.
Confidentiality
If either party receives non-public business, technical, or product information from the other party, the receiving party will use reasonable care to protect it and will use it only for purposes related to Swoop, unless disclosure is required by law.
Intellectual Property
Swoop and its software, design, workflows, branding, and documentation are owned by Swoop or its licensors. These Terms do not grant you ownership of Swoop or any related intellectual property.
Disclaimers
Swoop is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that Swoop will find every relevant post, correctly score every opportunity, generate accurate drafts, or operate without interruption.
Limitation of Liability
To the maximum extent permitted by law, Swoop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, or business interruption.
To the maximum extent permitted by law, Swoop's total liability for any claim will not exceed the amount you paid to Swoop in the three months before the event giving rise to the claim.
Indemnification
You will defend and indemnify Swoop from claims, damages, liabilities, losses, and expenses arising from your use of the service, your content, your connected accounts, your violation of these Terms, or your violation of law or third-party rights.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, unless applicable law requires otherwise.
Changes
We may update these Terms from time to time. If changes are material, we will provide notice through the website, app, or another appropriate channel. Continued use of Swoop after changes take effect means you accept the updated Terms.
